Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern access to and use of RESEEKiT!, an endpoint control and asset recovery platform operated by PROVE iT! Forensics ("RESEEKiT!," "we," "us"). By creating an account, accepting an invitation to join an organization's account, or otherwise using RESEEKiT!, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer").

2. The service

RESEEKiT! provides device inventory, lost/unreturned device workflows, corporate data removal, and governed remote wipe tooling for a Customer's own company-owned devices. Customer controls what devices it registers, what data RESEEKiT! collects about them, and what actions (including remote wipe) RESEEKiT! is authorized to take against them.

3. Authorized use of device actions

Customer represents that it has the legal right and authority to manage, monitor, and (where necessary) remotely lock or wipe every device it registers in RESEEKiT!. This typically means devices owned by Customer and issued to its own employees or contractors under an acceptable-use or device policy. Customer is solely responsible for confirming it has that authority before registering a device, and for complying with applicable law (including employee notice and consent requirements, which vary by jurisdiction) before enabling monitoring or remote-action features for a given device.

4. Accounts & access

Accounts are organized around a Customer organization. The organization's Organization Owner(s) invite users and assign roles that control what each user can see and do, including which roles can approve the highest-stakes actions (device freezes and remote wipes). Customer is responsible for the accuracy of the information used to set up its account, for keeping login credentials confidential, and for all activity that occurs under its organization's account, including actions taken by users it has invited.

5. Subscriptions, billing & fees

• RESEEKiT! is offered on subscription plans (Starter, Team, Professional, Business, and Enterprise, plus custom Global terms), billed monthly or annually, as described on our pricing page at the time of purchase.
• A one-time implementation fee applies to new subscriptions, scaled to tier, as described on the pricing page.
• Plans include an endpoint allowance. Usage beyond that allowance may require upgrading to a higher tier, as described on the pricing page in effect at the time.
• Fees are non-refundable except as required by law or as we otherwise state in writing.
• We may change pricing for future billing periods with reasonable advance notice.

6. Acceptable use

Customer agrees not to: use RESEEKiT! to monitor, locate, freeze, or wipe a device it does not own or have authorization to manage; use RESEEKiT! for covert surveillance of an individual, including a spouse, family member, or any person outside a legitimate company-device-management relationship; attempt to gain unauthorized access to RESEEKiT! or another customer's data; reverse-engineer or resell RESEEKiT! except as expressly permitted; use RESEEKiT! to violate applicable law; or interfere with the security or normal operation of the service.

7. What RESEEKiT! will not build

RESEEKiT! does not include, and will not add, covert webcam or microphone capture, keylogging, or features designed for personal/spousal tracking. Location and status signals are limited to company-owned devices an organization has explicitly registered, and are always presented with their source and confidence level.

8. Remote wipe & approval controls

Where RESEEKiT! offers dual-approval or MFA-gated controls for high-risk actions like remote wipe, Customer is responsible for configuring which roles can approve those actions and for reviewing any such action before it is executed. RESEEKiT! is not responsible for the consequences of an action a Customer's authorized users configured and approved, including data loss on a wiped device.

9. Customer data

As between the parties, Customer retains all rights to the data it sends into RESEEKiT! (its own device inventory, status, and recovery records). Customer grants RESEEKiT! the limited right to process that data solely to provide the service. See our Privacy Policy for how data is handled. On termination, Customer may request export or deletion of its data as described there.

10. Service availability

We aim to keep RESEEKiT! reliably available but do not currently guarantee a specific uptime commitment outside of a signed enterprise agreement that states one. We'll make reasonable efforts to notify Customer of planned maintenance or known service issues that materially affect availability.

11. Intellectual property

RESEEKiT! and its underlying software, design, and branding are the property of PROVE iT! Forensics. These Terms do not grant Customer any rights to RESEEKiT!'s intellectual property beyond the right to use the service as intended. Customer retains ownership of its own data and any content it uploads.

12. Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms. This does not limit either party's ability to comply with legal obligations, including law enforcement requests made through proper legal process.

13. Disclaimer of warranties

RESEEKiT! is provided "as is" and "as available." Like any device-management tool, location and status signals depend on device connectivity and cannot be guaranteed to be complete or real-time, and no tool can guarantee that a device is fully recovered or fully wiped in every circumstance. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the extent permitted by law, RESEEKiT! and PROVE iT! Forensics will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from use of the service. Our total liability for any claim relating to RESEEKiT! will not exceed the amount Customer paid for the service in the twelve months before the claim arose.

15. Indemnification

Customer agrees to indemnify RESEEKiT! against claims arising from Customer's misuse of the service, violation of these Terms, or violation of applicable law, including claims arising from device actions Customer's authorized users configured or approved, and including claims that Customer lacked the legal right to monitor, freeze, or wipe a registered device.

16. Term & termination

These Terms apply for as long as Customer has an active account. Either party may terminate a subscription as described in the applicable order or pricing terms. We may suspend or terminate access if Customer materially breaches these Terms and does not cure the breach after reasonable notice, or if required to prevent harm to RESEEKiT! or other customers.

17. Changes to these terms

We may update these Terms as RESEEKiT! evolves. We'll update the "Last updated" date above when we do, and for material changes we'll make a reasonable effort to notify account admins directly. Continued use after a change takes effect constitutes acceptance of the updated Terms.

18. Governing law

These Terms are governed by the laws of the jurisdiction in which PROVE iT! Forensics is organized, without regard to conflict-of-law principles, except where applicable law requires otherwise.
